1. Acceptance of Terms
By accessing or using Code Junction ("the Service"), operated by Code Junction ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Code Junction provides cloud-based Enterprise Resource Planning (ERP) software for retail businesses, including point-of-sale, inventory management, procurement, and analytics features. The Service may be accessed via web browser or desktop application.
3. Account Registration
To use the Service you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised access
- Be legally capable of entering into a binding agreement
You are responsible for all activity that occurs under your account.
4. Subscription & Billing
Subscriptions are billed in advance on a monthly or annual basis. All payments are processed by Paddle as our Merchant of Record. Paddle is the seller of record for all transactions and handles applicable taxes.
- Subscription fees are non-refundable except as required by law
- You may cancel at any time; access continues until the end of the paid period
- Price changes will be communicated at least 30 days in advance
- Failed payments will result in a grace period after which access may be suspended
5. Free Trial
We offer a free trial with full access to the selected plan. No credit card is required to start a trial. At the end of the trial period, you must subscribe or your account will be downgraded to read-only. Trial data is retained for 90 days after trial expiration.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to any part of the Service
- Reverse engineer, decompile, or disassemble the Service
- Resell or sublicense the Service without written permission
- Upload malicious code, spam, or harmful content
- Interfere with the Service's availability or performance
7. Your Data
You retain ownership of all data you enter into the Service ("Customer Data"). We process Customer Data only to provide the Service and as described in our Privacy Policy. You grant us a limited licence to host and process your data solely for the purpose of operating the Service.
8. Intellectual Property
The Service, including all software, design, trademarks, and content, is owned by Code Junction and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
9. Uptime & Service Levels
We target 99.9% monthly uptime for the API and web application. Scheduled maintenance windows are excluded from uptime calculations and will be communicated in advance where possible. Uptime SLAs are formally guaranteed on Enterprise plans only.
10. Limitation of Liability
To the maximum extent permitted by law, Code Junction shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
12. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your data will be retained for 90 days to allow export, then permanently deleted.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which Code Junction is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
14. Changes to Terms
We may update these Terms at any time. Material changes will be notified at least 14 days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance.
